Terms of Service

These Terms of Service ("Terms") govern your access to and use of Fragnet (the "Service"), operated by Node Technologies, Inc. ("Node Technologies," "we," "us"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.
1. The Service
Fragnet is a schedule-analysis application that ingests project schedule files (such as Primavera P6 .xer exports) and produces deterministic analyses, including DCMA 14-point assessments and schedule comparisons. The Service is provided on an "as available" basis and may change over time.
2. Accounts
You must provide accurate registration information and keep your credentials secure. You are responsible for all activity under your account. We strongly recommend enabling two-factor authentication. Notify us promptly of any unauthorized use.
3. Acceptable use
You agree not to:
- upload content you do not have the right to upload, or that infringes any third party's rights;
- attempt to gain unauthorized access to the Service, other accounts, or its infrastructure;
- probe, scan, or test the vulnerability of the Service without our written permission;
- use the Service to violate any applicable law or regulation;
- interfere with or disrupt the integrity or performance of the Service.
4. Your data and ownership
You retain all ownership of the schedule files and data you upload ("Customer Data"). You grant Node Technologies a limited license to process Customer Data solely to provide the Service to you. We do not sell your Customer Data. Schedule analysis is performed on our servers and is not transmitted to third-party services; any optional AI-assisted features are off by default and clearly disclosed before use.
We own the Service. All software, algorithms, designs, and content that make up Fragnet are the exclusive intellectual property of Node Technologies, Inc. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; they do not transfer any ownership of the Service to you.
5. Fees
Access during any beta or free tier is provided at no charge and may be modified or discontinued. Paid plans, if offered, will be governed by the pricing presented at the time of purchase.
6. Confidentiality & security
We apply administrative, technical, and physical safeguards designed to protect Customer Data, including encryption in transit and at rest, access controls, and audit logging. No method of transmission or storage is perfectly secure, and we cannot guarantee absolute security.
7. Disclaimers
The Service and its outputs are provided "as is" and "as available" without warranties of any kind, express or implied. Fragnet's analyses are decision-support tools and do not constitute engineering, legal, or professional advice. You are responsible for independently reviewing and validating any output before relying on it. To the fullest extent permitted by law, Node Technologies disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of liability
To the fullest extent permitted by law, Node Technologies will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the Service. Our aggregate liability for any claim relating to the Service will not exceed the greater of (a) the amounts you paid us for the Service in the twelve months before the claim, or (b) US $100.
9. Indemnification
You agree to indemnify and hold harmless Node Technologies from any claims arising out of your Customer Data, your use of the Service, or your violation of these Terms.
10. Term & termination
You may stop using the Service and delete your account at any time. We may suspend or terminate access if you violate these Terms or to protect the Service. Upon termination, your right to use the Service ends; sections that by their nature should survive (ownership, disclaimers, liability, indemnification) will survive.
11. Changes
We may update these Terms from time to time. Material changes will be reflected by updating the effective date above, and where appropriate we will provide additional notice. Continued use after changes take effect constitutes acceptance.
12. Governing law
These Terms are governed by the laws of the State of New York, United States, without regard to conflict-of-laws principles, except where superseded by mandatory local law.
